Please read the following terms and conditions very carefully as your use of the Services therein is subject to your acceptance of and compliance with the following terms and conditions (“Terms”). TSLimpact, a product of TSL Consulting Pvt. Ltd., provides a software application to create, launch, and manage online email campaigns, email blasts and newsletters to varied entities. The Service may not be used for the sending of unsolicited email (sometimes called “spam”).

By subscribing to or using any of our Services (defined below) you agree that you have read, understood and are bound by the Terms, regardless of how you subscribe to or use the Services. If you do not want to be bound by the Terms, you must not subscribe to or use our Services. These Terms and various other policies are binding as per the provisions of the Information Technology (Intermediaries guidelines) Rules, 2011 formulated under the Information Technology Act of 2000. In these Terms, references to “you”, “User” shall mean the end user accessing and using the Services. “Service Provider”, “we”, “us” and “our” shall mean TSL Consulting Pvt. Ltd. Service Provider reserves the right to accept or reject your registration.

  1. Your Account, Password and Security:

You must complete the registration form on the Sign Up page in order to use the Services. You may be required to register and create an “Account” with User ID and Password for availing the Services. You agree that any registration information provided by you will always be accurate, correct and complete. Service Provider reserves the right at all times to disclose any information as Service Provider deems necessary. If you use the Services, you shall be responsible for maintaining the confidentiality of your Account and Password and you agree to accept responsibility for all activities that occur under your Account or Password and of the Services in your name. Service Provider reserves the right to change or amend the Terms of this Agreement from time to time, without any prior notice to you. We also reserve the right to refuse registration of, or cancel, accounts which we deem inappropriate. We may contact our clients at any time to discuss products and Services.

  1. Services:

(a) TSLimpact – All Services provided under TSLimpact are subject to the limitation of this Agreement. The Services are also subject to Service Provider’s Privacy Policy and the Anti-Spam Policy mentioned herein below. Service Provider may discontinue or revise any or all other aspects of the Services at its sole discretion. Updated versions of this Agreement on the Services will be posted on the Terms & Conditions page on tslimpact.com. All changes become effective upon the posting of the revised Agreement on the Services.

(b) The Services provide features that allow you to share your documents/information with others using the blast e-mails. There are many things that Users may do with your documents/information (for example, copy it, modify it, forward it, and re-share it). Please consider carefully what you choose to share or make public, Service Provider has no responsibility for that activity.

  1. Data Security and Ownership:

(a) You agree and undertake not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of, or found at or through the Services or any software, documentation, or data related to the Services (“Software”); remove any proprietary notices or labels from the Services or any Software, modify, translate, or create derivative works based on the Services or any Software; or copy, distribute, pledge, assign, or otherwise transfer or encumber rights to the Services or any Software.

(b) There may be number of proprietary logos, service marks and trademarks found in the Services whether owned/used by Service Provider or otherwise. By displaying them with the Services, Service Provider is not granting you any license to utilize those proprietary logos, service marks, or trademarks in any advertising, publicity or any other commercial manner. Your use of the Services confers no title or ownership in the Service, the Software or the Marks and is not a sale of any rights in the Service, the Software or the Marks.

  1. User Guidelines:

(a) Access or subscription to the Services may contain Services such as email or bulletin board Services, which shall help you to advertise or offer or promote any goods or materials or Services or contests or schemes for your business purpose (hereinafter collectively referred to as “Communication Services”). You agree and undertake to use the Communication Services only to post, send and receive messages or emails and material that are proper and related to the particular Communication Services.

(b) By way of example, and not as a limitation, you agree and undertake that when using a Communication Service, you will not:

  1. defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others;
  2. publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information;
  3. upload files that contain Software or other material protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consents;
  4. upload or distribute files that contain viruses, corrupted files, or any other similar Software or
  5. programs that may damage the operation of the website or server or another’s computer or handheld devises;
  6. falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of Software or other material contained in a file that is uploaded;
  7. violate any code of conduct or other guidelines, which may be applicable for or to any particular Communication Service; and
  8. violate any applicable laws or regulations for the time being in force in or outside India;

(c) Service Provider shall not be liable for any claim or losses which may be incurred by the Users, customer, employees, representatives or any third party, arising out of or in any relation to the Communication Services.

(d) Although the Service Provider has no obligation to monitor the content provided by you or your use of the Services, Service Provider may review the materials or screen the messages posted through Communication Service and shall remove any materials or messages at its sole discretion. Service Provider reserves the right to terminate your access to any or all of the Communication Services and Services at any time without notice or any reason whatsoever.

(e) Service Provider reserves the right at all times to disclose or share any information as is necessary to satisfy or comply with any applicable law, regulation, legal process or governmental request or order, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Service Provider’s sole discretion.

(f) You understand and acknowledge that Service Provider assumes no liability or responsibility arising from the contents of any communications including Communication Services, containing any defamatory, erroneous, inaccurate, libelous, obscene or profane material. We may change, edit, or remove any User material or conversations that is illegal, indecent, obscene or offensive, or that violates our policies in any way. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting such materials.

(g) Every email message sent via using the Services must contain an “unsubscribe” link that allows visitors to remove themselves from your mailing list. You agree that you will not remove, disable or attempt to remove or disable such link. Service Provider may immediately disable your access to the Services if you violate this restriction.

(h) The Services may only be used for lawful purposes. Transmission or solicitation of any material that violates laws that may apply in your local area is prohibited. This may include material that is obscene, threatening, harassing, libelous, or in any way a violation of intellectual property laws or a third party’s intellectual property rights.

(i) You are responsible for maintaining and protecting all of your information, data, texts and e-mails. Service Provider will not be liable for any loss or corruption of your information, data, texts and e-mails, or for any costs or expenses associated with backing up or restoring any of your information, data, texts and e-mails.

  1. Fees

The Services will be subject to package subscription fees. The subscriptions fee is charged in advance, according to the package selected by you at sign up. The prices are subject to change at any time. You are required to pay the subscriptions fee online in favor of the Service Provider, or through any other mode of payment as communicated by the Service Provider. Any technical updates in relation to the Services will be free of cost for the Users. However, the User agrees to pay a fee, as may be specified by the Service Provider, for any modification to the functionality of the Services including any enhancements to the Services. In the event, the Services are not available, due to any technical or functional issues, as per the Terms of this Agreement, the Service Provider, at its sole discretion and by providing a 5 (five) days written notice, may offer a full or partial refund to the User.

  1. Confidentiality:

(a) Service Provider Obligations: Service Provider shall maintain data in consonance with the Privacy Policy devised by the Service Provider for the Services.

(b) Your Obligations: You shall take stringent security measures to maintain confidentiality of restricted / refined third party information or data.

Privacy Policy

TSLimpact, a product of TSL Consulting Pvt. Ltd., provides a software application to create, launch, and manage online email campaigns, email blasts and newsletters to varied entities (Services).

The Service may not be used for the sending of unsolicited email (sometimes called SPAM)

This privacy policy (Privacy Policy) describes the procedures for collecting, using, and disclosing your information.

Maintaining the privacy of your information is of paramount importance to us as it helps foster confidence, goodwill and stronger relationships with you. Please read this Privacy Policy to learn more about the ways in which we use and protect your personal information. This Privacy Policy governs your access to the Services, regardless of how you access it, and by using the Services you consent to the collection, transfer, processing, storage, disclosure and other uses described in this Privacy Policy.

By accepting this Privacy Policy and using the Services, you expressly consent to our use and disclosure of your personal information in accordance with this Privacy Policy. This Privacy Policy is incorporated into Service Subscription Terms and Conditions and User Agreement (Agreement).Note for Minor Users

Persons under the age of 18 (eighteen) may use the Services and submit relevant information as requested online only in conjunction with and under the supervision of their parents or guardians.

  1. The information we collect and store

We may collect and store the following information in relation to the Services:
Information you provide: When you register an account, we collect some personal information, such as your name, phone number, credit card or other billing information, email address and home and business postal addresses. You may also provide us with your contacts, email addresses when sharing folders or files with them. We also store and manage information to facilitate your email campaigns. This includes information about your, customers, employees or other recipients, such as email addresses, emails received, links accessed (we sometimes track this on your request through our software) and other details entered into our systems, which are subject to our Agreement but are not otherwise limited or controlled by us. It is possible that in this respect we could handle sensitive information such as information about professional association membership, political beliefs, health and religion. We do not use this information for our own purposes.

Log Data: When you use the Services, we automatically record information from your device, its software, and your activity using the Services. This may include the device’s Internet Protocol (IP) address, browser type, information you search for on our website, local preferences, identification numbers associated with your devices, your mobile carrier, date and time stamps associated with transactions, system configuration information, physical system information, metadata concerning your Files, and other interactions with the Services.

Special Offers and Updates: We send all new users a welcoming email to verify their new account and confirm their passwords and usernames. Established users will occasionally receive information on products, services, special deals. Out of respect for the privacy of our users we present the option to not receive these types of communications. Customers can unsubscribe via the unsubscribe mechanism at the bottom of each email.

We may, if it is necessary, send out a strictly service related announcements. For e.g. if the Services are temporarily suspended due to maintenance, we may send Users an email to that effect. Generally, Users may not opt-out of these communications, though they can deactivate their User Account. These communications should not be considered promotional in nature.

E-mail Communications: To help us make e-mails more productive, and to improve our service and your shopping experience, we will sometimes send you newsletters of our services and products, notifications of changes to our policies, and order confirmations. If you do not want to receive e-mail from us, other than order notifications and receipts, please adjust your ‘Subscription preferences’ by logging into your account.

Cookies: Cookies are a text-only string of information that a website transfers to the cookie file of the browser on your computer’s hard disk so that the website can remember your browser in the future. Most web browsers are set to accept cookies. Service Provider uses cookies to make the use of our website and Services more conveniently. Cookies are useful to estimate our number of visitors and to determine overall traffic patterns through our website.

You are always free to decline our cookies if your browser permits, although in that case you may not be able to use certain features on our website and subsequently the Services, and you may be required to re-enter your password more frequently during a session.

  1. How We Use Personal Information

Personal Information: In the course of using the Service, we may collect personal information that can be used to contact or identify you (Personal Information). Personal information is or may be used:

You agree that we may also use your personal information to contact you and deliver information to you that, in some cases, are targeted to your interests, such as targeted advertisements, administrative notices, service offerings, and communications relevant to your use of the site. By accepting the Terms of Service and Privacy Policy, you expressly agree to receive this information. If you do not wish to receive these communications, we encourage you to opt out of the receipt of certain communications on your account preferences page.

We use your internet protocol (IP) address to help diagnose problems with our server, and to administer our website. We do not link your IP address which accesses our website to any personal information. We use tracking information to determine which areas our site user’s visit based on traffic to those areas. We do not track what individual users read, but rather how often each page is visited. This helps us maintain a superior and informative website for you.

For Services: We may share your information in relation to any complaints, notices or any legal issues which may be raised by the recipient of the e-mails or newsletter distributed through the Services.

Joint Marketing Arrangements: Where permitted by law, we may provide your personal information to joint marketers with whom we have a marketing arrangement. We may scan the content of your campaigns to ensure it complies with the Agreement and this Privacy Policy — to protect against defamatory, inaccurate, abusive, obscene, profane, or threatening material that is racially or ethnically offensive.

Business Transfers: If we are involved in a merger, acquisition, or sale of all or a portion of our assets, your personal information may be transferred as part of that transaction, but we will notify you (for example, via email and/or a prominent notice on our website) of any changes in control or use of your personal information or files, or if either become subject to a different privacy policy. We will also notify you of choices you may have regarding the information.

Social Media Platforms: You may wish to participate in social media platform hosted and made available by us. The main aim of the social media platform is to facilitate and allow you to share content. However, we cannot be held responsible if you share personal information on social media platform that is subsequently used, misused or otherwise appropriate by another user.

Non-private or Non-Personal Information: Any data, information material you transmit or post or submit on the website or on User Account without any confidentiality setting such as non-private, shall be considered and treated as non-confidential and non-proprietary, subject to the data security provisions and you grant us a royalty-free, perpetual, irrevocable, non-exclusive right to use, copy, modify, adapt, translate, publish, disclose and distribute any such material.

  1. Changing or Deleting Your Information

If you are a registered user and you have a User Account, you may review, update, correct or delete the personal information provided in your User Account. If your personally identifiable information changes, or if you no longer desire our services, you may update or delete it by making the change on your account settings. In some cases we may retain copies of your information if required by law.

  1. Data Retention

We will retain your information for as long as your account is active or as needed to provide you Services. We may retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Consistent with these requirements, we will try to delete your information quickly upon reasonable request. Please note, however, that there might be latency in deleting information from our servers and backed-up versions might exist after deletion. In addition, we do not delete from our servers files that you have in common with other users.

  1. Security

The security of your personal information is important to us, we host the data on multi-domain servers of BigRock, which is an accredited registrar of Internet Corporation for Assigned Names and Numbers (ICANN). Also, all Personal Information provided is transmitted using SSL (Secured Socket Layer) encryption. SSL is coding system which lets your browser automatically encrypt, or scramble, data before you send it to us.

We adhere to the best practices for data protection, no method of electronic transmission or storage is 100% secure, therefore, we cannot guarantee its absolute security.

As a matter of security we take back-up of systems periodically. Although we provide appropriate firewalls and protections but our systems are not hack proof. Data pilferage due to unauthorized hacking, virus attacks, technical issues is possible and we take no liabilities or responsibilities for it.

You are responsible for all actions taken with your User Account and password, including fees incurred by your account. Therefore, we do not recommend that you disclose your password to any third parties. If you choose to share your User Account and password or your personal information with third parties, you are responsible for all actions taken with your User Account. If you lose control of your password, you may lose substantial control over your personal information and may be subject to legally binding actions taken on your behalf.

  1. Changes to Privacy Policy

We have and continue to have the right to modify or update this Privacy Policy at any time without prior intimation. Therefore, you are advised to frequently refer to this Privacy Policy for such updates. Such changes shall be effective immediately upon posting to the website.

  1. Limitation of Liability

Service Provider will not be liable for any damages, direct or indirect, incidental or consequential, and all liabilities (including for negligence, loss or damage such as loss of revenue, unavailability of system or loss of data and loss of your personal information) and for use of or inability to use material, products or services of any kind that is offered or to provide indemnity or any other remedy to User or any third party.

  1. Force Majeure

Neither party will be in default or liable for any delay or failure to comply with this Privacy Policy (other than any payment of money) due to any act beyond the reasonable control of the affected party, including, without limitation to failures of Internet, computer equipment, telecommunication, power, provided by such party immediately notifies the other.

  1. Links to Third Party Sites

We may provide links of other websites on our website, without any accuracy, completeness, or usefulness of any content, warranty, merchantability, endorsement, and suitability, any assurance of quality, authenticity, and appropriateness to view such websites and responsibility, liability, obligations on part of the website. This Privacy Policy does not apply when you access to such sites, links.

Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, or any other Users are those of the respective author(s) or distributors and not of the Service Provider.
Your decision to act on such third party content shall be solely at your own risk.

  1. Agreement

This Privacy Policy along with the Agreement contains the entire understanding and agreement between you and the Service Provider and supersedes any and all prior understandings relating to the Services. This Policy cannot be changed or terminated orally. If any provision of this Privacy Policy is held to be illegal, invalid or unenforceable, this will not affect any other provisions and the Privacy Policy will be deemed amended to the extent necessary. Any provision which must survive in order to allow us to enforce its meaning shall survive the termination of this Privacy Policy. This Privacy Policy should be at all times read along with the Agreement.
